Re: Change of authorized signers, [Association Name], accounts ending [Account Numbers]

Dear [Bank Contact],

[Association Name] (EIN [Association EIN]) requests the following changes to authorized signers on its accounts, effective [Effective Date]:

Remove: [Signers To Remove]

Add: [Signers To Add]

The Board of Directors approved these changes by resolution on [Resolution Date]. A certified copy of the resolution, the board minutes, and a list of the current directors and officers are enclosed.

Please also remove online banking access for the removed signers, update the mailing address and statement recipient to [Statement Contact], and confirm in writing when the changes are complete.

Please tell us if the bank requires signature cards or identification from the new signers.

Sincerely,

What this letter does

A bank signer change letter tells the bank who is authorized to move the association's money after a board change. Banks usually act only on a signed request with supporting documents, so the letter works with a board resolution rather than replacing it.

Documents banks commonly ask for

  • A board resolution naming the new signers, with the date of the vote.
  • Minutes of the meeting, certified by the secretary.
  • The association's employer identification number and articles or governing documents.
  • Identification and signature cards for each new signer.
  • Bank-specific forms. Ask the bank for them before you send the letter.

A manager acting for the board needs written authority, as in the HOA authorization letter.

Sample resolution wording

"Resolved, that [Names] are authorized signers on all accounts of [Association Name] at [Bank Name]; that [Names] are removed as signers; and that the officers are authorized to sign the documents the bank requires."

Timing

Do this on or before the date the outgoing officer's authority ends, and remove online access at the same time. A former treasurer or manager should not retain access to association funds. Change passwords on shared accounts and switch on alerts for large transfers.

Related steps

When the treasurer changes, send the treasurer handover letter. When the management company changes, send the termination letter and tell residents with the change of management letter. A removed director leaves through the HOA board member removal letter, and an officer who resigns uses the HOA board president resignation letter or the manager resignation letter.

Common questions

Does the bank need a board resolution?

Most do. Ask the bank what it requires, since policies vary.

Can the outgoing officer keep signing authority for a while?

Only if the board decides so. A clean cutover is safer.
